Agreement
This End User Licence Agreement is between you and StinkFace Audio ("StinkFace", "we", "us") for the ShiftFace audio plug-in and its accompanying files (the "Software"). By installing, activating or using the Software, you agree to these terms. If you do not agree, do not install or use it.
1. Licence grant
Subject to these terms, StinkFace grants you a personal, limited, non-exclusive, non-transferable licence to install and use ShiftFace on up to three computers that you control. The licence is perpetual for ShiftFace 1.x. It does not guarantee access to a future paid major version.
You may use audio created with ShiftFace in personal and commercial music, sound design, broadcasts, performances and client work. StinkFace claims no ownership of audio you process or create with the Software.
2. Activation
Activation requires a valid purchase email and licence key plus a one-way machine fingerprint. After activation, the signed local licence works offline. You may deactivate a computer from inside ShiftFace before moving that seat to another computer. Purchase and activation data is handled under our Privacy Policy.
3. Restrictions
You must not share, sell, sublicense, rent, lease or publish your licence key; redistribute or sell the Software as a standalone product; remove or bypass activation or ownership checks; reverse engineer, decompile or modify the Software except where applicable law expressly permits it; or use it unlawfully or to infringe another person's rights. You may keep reasonable backup copies of the installer for your own use.
4. Ownership and third-party software
ShiftFace is licensed, not sold. StinkFace and its licensors retain all rights in the Software, branding and documentation other than the limited rights granted above. ShiftFace includes third-party software governed by its own notices and licences, supplied with the Software.
5. Updates, support and experimental features
We may provide fixes and updates at our discretion. Support is available at support@stinkface.uk.
Robot mode is clearly marked experimental. Its sound and stability are highly dependent on the source recording. Natural and Persona are the recommended general-purpose modes. Experimental status does not limit any statutory right you have if the Software is faulty or not as described.
6. Refunds and consumer rights
Our published refund policy currently provides a 14-day money-back guarantee, subject to the terms shown at the point of purchase. Nothing in these terms excludes or restricts rights or remedies that cannot lawfully be excluded, including applicable rights relating to faulty or misdescribed digital content.
7. Disclaimer
To the fullest extent permitted by law, the Software is provided without a promise that it will suit every recording, host, workflow or creative purpose. You are responsible for monitoring safely, keeping backups and testing the Software in your own production environment. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited.
8. Liability
If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or failure to use reasonable care and skill. We are not responsible for business losses suffered by a consumer.
If you use ShiftFace wholly or mainly for business purposes, to the fullest extent permitted by law we are not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or data. Our total aggregate liability arising from the Software will not exceed the amount you paid for ShiftFace during the twelve months before the event giving rise to the claim. The exclusions in the previous paragraph still apply.
9. Termination
These terms end automatically if you materially breach them. If that happens, you must stop using and delete the Software. Terms which by their nature should continue after termination will continue, including ownership, restrictions, disclaimers and liability terms.
10. Governing law
These terms are governed by the laws of England and Wales. If you are a consumer, you retain any mandatory protections provided by the law of the country where you live and may bring proceedings in the courts available to you under applicable consumer law. If you are a business, the courts of England and Wales have exclusive jurisdiction.
